Terms of Use

Welcome to Suprdense! These Terms of Use (“Terms”) govern your access to and use of the services, products, and platforms provided by Suprdense, including, but not limited to, data migration, data quality, sales and marketing automation, integrations, and onboarding solutions. By using our services, you agree to comply with and be bound by these Terms.
If you do not agree with any part of these Terms, you must not use our services.
1. Definitions
“Suprdense” refers to the company providing data orchestration and automation solutions, including integrations and migration services.
“Services” refers to any Suprdense product, platform, or service offering.
“User” or “You” refers to any individual or entity accessing or using our services.
“Third-Party Platforms” refers to external tools or platforms such as Firebase, HubSpot, Google Cloud Platform (GCP), and Amazon Web Services (AWS) used in conjunction with Suprdense services.
2. Acceptance of Terms
By accessing or using Suprdense’s services, you represent that:
You are at least 18 years old or have reached the age of majority in your jurisdiction.
You have the authority to bind yourself or the entity you represent to these Terms.
You have read, understood, and agree to be bound by these Terms.
3. Use of Services
3(a). Permitted Use
Suprdense grants you a non-exclusive, non-transferable, revocable license to use its services solely for lawful purposes in accordance with these Terms.
Services are to be used for business operations, integrations, and automations as outlined in our service agreements.
3(b). Prohibited Use
You agree not to:
Use the services in violation of any applicable laws or regulations.
Reverse engineer, disassemble, or attempt to extract the source code of any Suprdense software or service.
Engage in any activity that could disrupt, disable, or damage our systems or services.
Misrepresent your identity or use the services for unauthorized or illegal purposes.
4. Data and Privacy
Customer Data
Suprdense does not permanently store, sell, or share customer data.
Data provided by you during the use of services is used solely for operational purposes and is promptly deleted after the project is completed.
Third-Party Platforms
Suprdense services may involve third-party platforms like Firebase, HubSpot, GCP, and AWS.
Your use of these platforms is subject to their respective terms and privacy policies.
5. Intellectual Property
All intellectual property rights in Suprdense’s services, products, content, and software are owned by Suprdense or its licensors.
You may not copy, modify, distribute, or create derivative works based on Suprdense’s intellectual property without prior written consent.
6. Service Availability and Modifications
Suprdense strives to ensure uninterrupted availability of its services but does not guarantee that services will always be available, error-free, or meet your specific requirements.
Suprdense reserves the right to modify, suspend, or terminate any part of its services at any time without prior notice.
7. Fees and Payments
Pricing for Suprdense services is as outlined in the applicable service agreement.
Payments are due as per the terms specified in your agreement. Non-payment may result in suspension or termination of services.
8. Limitation of Liability
To the fullest extent permitted by law:
Suprdense shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Suprdense’s total liability for direct damages under these Terms shall not exceed the fees paid by you for the services in the six months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Suprdense, its affiliates, and employees from and against any claims, liabilities, damages, losses, or expenses arising out of:
Your use of the services in violation of these Terms.
Your breach of any applicable law or regulation.
Any claim related to the data or content you provide.
10. Termination
Suprdense reserves the right to terminate or suspend your access to the services for violations of these Terms or any other applicable agreements.
Upon termination, your license to use the services is immediately revoked.
11. Governing Law and Dispute Resolution
Governing Law
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Dispute Resolution
At Suprdense, we prioritize resolving disputes amicably. In the event of a dispute arising from or related to these Terms, the parties agree to:
Good Faith Negotiations: First, attempt to resolve the dispute through direct and amicable discussions within 30 days of written notice of the dispute.
Arbitration: If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
The arbitration shall take place in Lewes, Delaware, United States.
The arbitration will be conducted in English.
Each party shall bear its own costs and attorney's fees, except as otherwise required by the arbitration rules or applicable law.
Final and Binding Decision: The decision of the arbitrator(s) shall be final and binding, and judgment on the arbitration award may be entered in any court having jurisdiction.
